1. Acceptance of these Terms

These Terms of Use (“Terms”) govern your access to and use of privategridpartners.com (the “Site”), operated by Private Grid Partners (“Private Grid Partners”, “we”, “us” or “our”). By accessing or using the Site, you agree to these Terms. If you do not agree, please do not use the Site.

2. Business use

The Site is intended for businesses in the United States and Canada. By using the Site, you confirm that you are at least 18 years old and, if you submit an enquiry on behalf of a company, that you are authorized to do so.

3. Information only: no offer or advice

Content on the Site, including descriptions of generation solutions, capacity, timelines, pricing, energization dates or project capabilities, is provided for general information only. It is not an offer, quotation, commitment or guarantee, and it is not engineering, financial, legal, regulatory or investment advice. Any project, service or pricing is subject to site-specific assessment, regulatory and permitting requirements, and a separate written agreement signed by both parties.

4. Enquiries

When you submit an enquiry, you agree to provide accurate information and confirm that you have the right to share it. Submitting an enquiry does not create any contractual relationship or obligation on either party. Please do not submit confidential or proprietary information through the Site unless a confidentiality agreement is in place between us.

5. Intellectual property

The Site and its content, including text, graphics, logos, designs and trademarks, are owned by or licensed to Private Grid Partners and are protected by intellectual property laws. You may view and print pages for your own internal business purposes. You may not copy, reproduce, modify, distribute, republish or create derivative works from any part of the Site without our prior written permission.

You agree not to: use the Site for any unlawful purpose; submit false, misleading, spam or automated enquiries; attempt to gain unauthorized access to the Site or its systems; interfere with or disrupt the Site’s operation or security; introduce viruses or other harmful code; or scrape, crawl or harvest content or data from the Site by automated means without our written permission.

The Site may contain links to third-party websites. We do not control and are not responsible for their content, policies or practices. Accessing third-party websites is at your own risk.

8. Disclaimer of warranties

The Site is provided “as is” and “as available”. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, accuracy, completeness and non-infringement. We do not guarantee that the Site will be uninterrupted, error-free or free of harmful components.

9. Limitation of liability

To the fullest extent permitted by law, Private Grid Partners and its directors, officers, employees, affiliates and agents will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data or business opportunity, arising out of or related to your use of, or inability to use, the Site or its content, even if advised of the possibility of such damages. Our total liability for any claim relating to the Site will not exceed CAD $100 (or the equivalent in U.S. dollars). You agree to indemnify and hold harmless Private Grid Partners and its directors, officers, employees and agents from any claims, losses, liabilities and expenses (including reasonable legal fees) arising from your breach of these Terms or your misuse of the Site.

12. Governing law and jurisdiction

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict-of-law rules. You agree to the exclusive jurisdiction of the courts located in Toronto, Ontario for any dispute arising out of or related to these Terms or the Site, except where applicable law requires otherwise.

13. Changes to these Terms

We may update these Terms from time to time. The updated version will be posted on this page with a revised effective date. Your continued use of the Site after changes are posted means you accept the updated Terms.

14. General

If any provision of these Terms is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver of our right to do so later. These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Site.
